Subject: Business Development Agreement ("BDA")
Hewlett-Packard Company ("HP") is pleased to offer the HP U.S. Business Development Agreement to our valued channel partners. The Business Development Agreement ("BDA") contains the general terms and conditions that are common among the majority of pre-merger channel partner agreements. The BDA harmonizes pre-merger HP and pre-merger Compaq terms and conditions into a single agreement structure. The BDA is the base agreement that will be accepted by all Business Development Partners.
As the Contract Signer for your company, the first step to migrate from your company's current channel partner agreement(s) to the BDA is to log onto http://www.partner.americas.hp.com by using your company's existing pre-merger HP or pre-merger Compaq outlet id number.
Once in the Partnership Website, you will be able to view and review the BDA, associated addenda and update your company profile. The Partnership Website will soon have the ability for channel partners to electronically accept the terms and conditions of the BDA and the associated addenda. Please watch for update messages regarding this capability on the contract section of the Partnership Website. Additionally, if applicable, you will be required to submit an application for specific product resale authorization(s). Your acceptance of the BDA terms and conditions is subject to final review and approval by HP. The BDA, specific addenda and product authorization(s) will become effective on the date of the HP approval notification(s).
By accepting the terms and conditions of the HP U.S. Business Development Agreement, your company acknowledges the BDA will supercede your company's existing partner agreement(s). You will have until October 31st, 2003 to transition to the BDA from your company's current channel partner agreement(s). Examples of some of these channel partner agreements include, but are not limited to, the following:
· HP U.S. Agreement for Authorized Value Integrated Partners;
· HP U.S. Commercial 1st Tier Reseller Agreement;
· HP U.S. Commercial 2nd Tier Reseller Agreement;
· HP U.S. Education Reseller Agreement
· HP U.S. Federal 1st Tier Reseller Agreement;
· HP U.S. System Builder Reseller Agreement;
· Compaq Authorized Enterprise Reseller (CAER);
· Compaq Authorized Reseller Sales Agreement(CAR);
· Compaq Partner Direct;
· Compaq Registered Associate;
· Compaq Computer Corporation U.S. Reseller Agreement;
· Compaq Referral Agreement;
· Compaq Campus Reseller Agreement;
· Consulting Reseller Agreement;
· Direct Application Reseller Agreement;
· E-Integrator Non-Reselling Hardware/Software Channel Partner Agreement;
· Service Provider;
· Support Services; and
· VAR.
If your company does not agree to the terms and conditions of the new BDA, your company's existing channel partner agreement(s) will expire on October 31st, 2003.
